1. Company overview<\/h3>\n

\nFood&Good SAS, a simplified joint-stock company registered in France, offers digital solutions for restaurant professionals, including
\n:- reservation
\nmanagement \u2013 customer
\nrelationship management \u2013 payment and
\nprepayment \u2013 marketing and communication
\n\u2013 customer
\nreview management \u2013 website creation<\/p>\n

These General Terms and Conditions of Service (GTCS) define the terms and conditions of use of these services.<\/p>\n

They apply to all professional customers subscribing to the services offered by Food&Good SAS.<\/p>\n

2. Purpose<\/h3>\n

\nThe purpose of these terms and conditions is to define
\n:- the conditions of access to
\nFood&Good services- the rights and obligations of the
\ncustomer- the financial
\nconditions- the responsibilities of each party<\/p>\n

\nThe contract consists of
\n:- these general
\nterms and conditions \u2013 the quote or purchase order accepted by the customer
\n.In the event of a contradiction, the quote shall prevail.<\/p>\n

3. Acceptance of terms<\/h3>\n

\nAny subscription to the services implies
\n:- reading
\n\u2013 understanding
\n\u2013 unreserved acceptance of these general terms and conditions.<\/p>\n

\nThis acceptance may be given
\n:- by manual or electronic
\nsignature- by validating a quote-
\nby using the service<\/p>\n

4. Term of the contract<\/h3>\n

\nThe contract takes effect on the date of validation of the quote or use of the service(s).
\nUnless otherwise specified, it is concluded for an initial term of 12 months, automatically renewable for the same term.<\/p>\n

\nThe customer may terminate the contract
\n:- at least 60 days before the expiry date by registered letter with acknowledgment of receipt sent to the registered office of Food and Good SAS
\n.- Any subscription period that has already begun remains payable.<\/p>\n

5. Description of services<\/h3>\n

\nFood&Good provides a platform that allows, in particular:
\n\n5.a \u2013 Management of reservations<\/span><\/strong><\/p>\n

\nThe customer may
\n:- receive
\nonline reservations \u2013 manage
\ntheir tables and availability \u2013 centralize their reservations (website, telephone, networks, partners).<\/p>\n

5.b \u2013 Customer file<\/span><\/strong><\/p>\n

\nThe platform allows you to create and manage a customer database including
\n:- reservation
\nhistory \u2013 customer
\ncontact details \u2013 customer preferences<\/p>\n

5.c \u2013 Review collection<\/span><\/strong><\/p>\n

After a visit, customers of the establishment can receive a message allowing them to leave a review.<\/p>\n

\nThese reviews can be
\n:- viewed
\n\u2013 analyzed
\n\u2013 published on the restaurant's website.<\/p>\n

5.d \u2013 Marketing tools \u2013 paid option<\/span><\/strong><\/p>\n

\nThe customer can send their customers or prospects
\n:- emails-
\ntext
\nmessages- promotional campaigns<\/p>\n

5.e \u2013 Payment and prepayment<\/span><\/strong><\/p>\n

\nThe platform can enable
\n:- online
\npayment or security deposits
\n\u2013 bank
\ncard details \u2013 prepayments \u2013 the sale of gift vouchers.
\nThese payments are processed via secure payment providers.<\/p>\n

5.f \u2013 Website creation<\/span><\/strong><\/p>\n

Food&Good can offer a website creation and hosting service for the establishment.<\/p>\n

5.g \u2013 Creation of a mini-website on www.foodandgood.fr<\/span><\/strong><\/p>\n

Food&Good can offer a mini-website creation and hosting service for the establishment on its www.foodandgood.fr platform.<\/p>\n

6. Access to customer account<\/h3>\n

The customer has a secure account accessible via a username and password.<\/p>\n

\nThe customer is responsible
\nfor:- the confidentiality of their access

\ndetails \u2013 the use of their account \u2013 the actions carried out by their employees.<\/p>\n

7. Customer obligations<\/h3>\n

\nThe customer undertakes to
\n:- provide accurate information
\n\u2013 use the services in
\naccordance with the law \u2013 not interfere with the
\nfunctioning of the platform \u2013 not introduce viruses or malware.<\/p>\n

\nThe customer is solely responsible
\nfor:- their relationship with their customers
\n\u2013 the content they publish on the platform.<\/p>\n

8. Customer content<\/h3>\n

\nThe customer may publish
\n:- photos-
\nmenus-
\ntexts-
\noffers and commercial information directly related to the establishment concerned.<\/p>\n

\nThe customer guarantees
\n:- that they have the necessary
\nrights \u2013 that this content does not infringe any third-party rights.<\/p>\n

\nThe customer authorizes Food&Good to use all of their content to
\n:- provide services
\n\u2013 promote the restaurant on the platform.<\/p>\n

9. Financial terms<\/h3>\n

\nThe services are offered on a subscription basis.
\nThe rates are indicated in the quote accepted by the customer.<\/p>\n

\nPayments can be made by
\n:- direct debit
\n\u2013 credit card
\nInvoices are payable within 30 days.<\/p>\n

10. Late payment<\/h3>\n

\nIn the event of late payment
\n:- penalties may be applied-
\nservices may be suspended-
\nthe contract may be terminated
\n.- A fixed collection fee may also be applied in accordance with regulations.<\/p>\n

11. Personal data<\/h3>\n

\nPersonal data may be processed in connection with the use of the services.
\nEach party undertakes to comply with the applicable regulations, in particular the GDPR.
\nThe customer remains responsible for the data of its own customers.<\/p>\n

12. Liability<\/h3>\n

Food&Good undertakes to provide its services with diligence and professionalism.<\/p>\n

\nHowever
\n:- Food&Good is only bound by an obligation of means
\n\u2013 the company does not guarantee an increase in turnover or customer base.
\n\u2013 Food&Good's liability is limited to proven direct damages.<\/p>\n

\nIt cannot be held liable
\nfor:- loss of revenue
\n\u2013 loss of data
\n\u2013 indirect damage.<\/p>\n

13. Intellectual property<\/h3>\n

\nAll elements belonging to Food&Good (software, databases, trademarks, logos, etc.) remain its exclusive property.
\nThe customer only has the right to use them for the duration of the contract.<\/p>\n

14. Commercial references<\/h3>\n

\nThe customer authorizes Food&Good to mention
\n:- the name of the
\nrestaurant \u2013 its logo
\n\u2013 its visuals
\nas a commercial reference throughout the duration of the contract and up to 36 months after the date of termination of the contract, regardless of the reason.<\/p>\n

15. Termination of the contract<\/h3>\n

\nAt the end of the contract
\n:- access to the services is interrupted
\n\u2013 certain data may be returned upon request.<\/p>\n

16. Force majeure<\/h3>\n

Neither party shall be held liable in the event of force majeure preventing the performance of the contract.<\/p>\n

17. Applicable law and disputes<\/h3>\n

\nThese terms and conditions are governed by French law.
\nIn the event of a dispute, the parties shall attempt to find an amicable solution before any legal proceedings.
